1. Agreement to Terms
By accessing or using Teknoesis services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of these terms, you may not access our services.
2. Services
Teknoesis provides software development, web design, SEO, and digital marketing services. Specific deliverables, timelines, and pricing for each engagement are outlined in individual project agreements or statements of work (SOW).
3. Client Responsibilities
Clients are responsible for:
- Providing accurate project requirements and timely feedback
- Ensuring they have the rights to any content, assets, or intellectual property provided to us
- Making payments according to agreed schedules
- Complying with all applicable laws and regulations
4. Intellectual Property
Upon full payment of all fees, clients receive ownership of the final deliverables created specifically for their project. Teknoesis retains ownership of general frameworks, libraries, and tools developed independently that may be used across multiple projects.
5. Payment Terms
Unless otherwise agreed in writing, payment terms are as follows: a 50% deposit is required before project commencement, with the remaining 50% due upon project completion. Late payments may incur fees as outlined in the project agreement.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This obligation survives termination of the project.
7. Limitation of Liability
Teknoesis's total liability for any claim arising from our services shall not exceed the total fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
8. Warranties
We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day bug fix warranty for code defects after project delivery. We do not warrant specific business results or search engine rankings.
9. Termination
Either party may terminate a project engagement with 14 days written notice. Client shall pay for all work completed up to the termination date. Deposits are non-refundable once work has commenced.
10. Governing Law
These terms shall be governed by applicable laws. Any disputes shall first be attempted to be resolved through good-faith negotiation.
11. Changes to Terms
We reserve the right to modify these terms at any time. Updated terms will be posted on our website with a revised date. Continued use of our services after changes constitutes acceptance.
